General Terms & Conditions

1. Preamble These Standard conditions apply to the sales and deliveries of products by INCOVES EOOD to customers. In these Standard conditions, INCOVES EOOD will be called ”Supplier” and the customer will be called ”Purchaser”. In addition to these Standard conditions, the General Conditions for the Supply of mechanical, electrical and electronic products, Orgalime S 2012, shall apply between the parties. These General conditions shall not apply if the parties agree in writing on terms that differ from these conditions. 2. Prices All purchase prices are valid for order within 30 days. All prices are in BGN or EURO. 3. Marking Individual marking with producers standard labels tied to the valves is included. 4. Inspection documents Material and test certification EN 10204-3.1 can be provided for relevant products. Must be informed at order. *Remark to valves used in marine industry Individual Class inspection certificates are not included unless otherwise agreed. Any third party class inspection certificate cost is additional as per our own cost plus invoice from relevant classification society. We need to inform the classification society prior to order about the following: 1. Area of use, system and media 2. Piping class – max working pressure and temperature 3. Yard and new building number or name of vessel 5. Documentation One set of paper and one electronic version of “Instruction and maintenance manuals for valves” are included per ship set, as well as drawings of the valves. 6. Deliveries and passing of risk Supplementary to paragraph 10 of Orgalime S 2012 the following shall apply. Deliveries are in Bulgaria, FCA INCOVES EOOD stocks in Varna, Bourgas, Veliko Tarnovo, Plovdiv, Stara Zagora depending on the point of delivery, in accordance with INCOTERMS 2010. Partial deliveries shall be permitted. 7. Time of delivery Delivery time as per final order confirmation. 8. Payment If not otherwise agreed, payment should be made by bank transfer or prepayment. 9. Liability for defects Changing paragraph 27 of Orgalime S 2012 the following shall apply. The Supplier’s liability is limited to defects which appear 12 months after delivery to the Purchaser. 10. Return of products The Supplier shall within one (1) month after shipment, accept return of product provided it is a normal stock item and part of the Supplier's standard range at the time of the return. In addition the product must be in mint condition and with unbroken packaging. The Supplier has the right to charge a return fee of at least 35% of the invoice amount at the time of the delivery. Eventual classification costs will be charged in addition to the return fee and any shipping cost and other expenses, such as custom charges, in respect of the return of the products should be borne by the Purchaser. If the Purchaser want to use the right to return a product, the Purchaser shall notify the Supplier thereof, to agree on that the product is eligible for return and to obtain a reference and marking to be used in connection to the return of the product. 11. Changes to these Standard conditions These Standard conditions are available on Information about amendments to the conditions will be published on the same website. 12. Disputes and applicable law Changing paragraph 46 of Orgalime S 2012 the following shall apply. Any dispute, controversy or claim arising out of or in connection with this contract, or the breach, termination or invalidity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Bulgarian Chamber of Commerce.
